By registering for, accessing, or using the Platform in any capacity, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform.

- "Cooperative Member": a User who registers to access community, training, mentorship, networking, or informational resources.

3. Eligibility
The Platform is intended solely for individuals aged 18 years and above. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. DAW does not knowingly permit registration by, or collect information from, anyone under the age of 18.
If you are registering on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
- You must provide accurate, current, and complete information when creating an account, and keep it up to date.
- You are responsible for maintaining the confidentiality of your username and password and for all activity that occurs under your account.
- You must notify DAW immediately of any unauthorised use of your account or any other breach of security.
- DAW reserves the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.
5. Roles on the Platform
5.1 Cooperative Members
Cooperative Members may access community resources, training programmes, mentorship sessions, webinars, and networking opportunities. Participation is subject to any specific programme rules communicated at the time of enrolment. DAW does not guarantee particular outcomes (e.g. employment, funding, or business growth) from participation in any programme.
5.2 Sellers
Sellers may list, market, and sell goods and/or services through the Platform, subject to completing DAW's identity and business verification process (see Section 7). Sellers act as independent contractors and are solely responsible for the goods and services they list, including their legality, quality, description accuracy, pricing, and fulfilment.
5.3 Buyers
Buyers may browse, purchase, and pay for goods and/or services offered by Sellers. DAW facilitates the transaction but is not a party to the contract of sale between a Buyer and a Seller, except as otherwise expressly stated.
6. Marketplace Role and Disclaimer
DAW provides a platform that connects Cooperative Members, Sellers, and Buyers. Except where expressly stated, DAW is not the manufacturer, seller, or supplier of goods or services listed by Sellers, and does not take title to or possession of any goods sold through the Platform.
- DAW does not guarantee the quality, safety, legality, or accuracy of any listing, description, or Seller claim.
- Any dispute regarding the quality, delivery, or fitness of goods or services is primarily between the Buyer and the Seller; DAW may, at its discretion, assist in resolving disputes but is under no obligation to do so.
- DAW does not endorse any particular Seller, Buyer, product, or service.
7. Seller Obligations and Verification
To maintain trust and safety across the marketplace, Sellers must complete an identity and business verification process ("KYC") before listing products or services, including submission of valid government-issued identification and business registration details, in accordance with our Privacy Policy.
- Sellers must ensure all listings are accurate, lawful, and not misleading.
- Sellers must fulfil orders in a timely manner and honour the terms of sale communicated to Buyers.
- Sellers are responsible for providing accurate bank account details for payouts and for any tax or regulatory obligations arising from their sales.
- Sellers must not use Buyer data received in connection with an order for any purpose other than fulfilling that order, and must not use such data for unrelated marketing without the Buyer's consent.
- Sellers are independently responsible for complying with applicable consumer protection and data protection laws in respect of their own customers.
- DAW may suspend or remove listings, or suspend or terminate a Seller's account, for breach of these Terms, fraudulent activity, or repeated complaints.
8. Buyer Obligations
- Buyers must provide accurate billing, delivery, and contact information.
- Buyers must pay the full price for goods or services ordered, using the payment methods supported by DAW's licensed payment processors.
- Buyers agree that delivery and contact information will be shared with the relevant Seller solely to the extent necessary to fulfil an order.
- Reviews and ratings submitted by Buyers must be honest, relevant, and must not contain unlawful, defamatory, or abusive content.
9. Payments and Fees
Payments made through the Platform are processed by licensed third-party payment processors, including Paystack and Vigipay. DAW does not store full payment card details on its own servers.
- DAW may charge Sellers a commission or service fee on transactions, as communicated at the point of listing or sale.
- Payouts to Sellers will be made to the verified bank account on file, subject to any applicable processing timelines and deductions.
- All fees are exclusive of applicable taxes unless stated otherwise. Users are responsible for their own tax obligations arising from use of the Platform.
- DAW reserves the right to withhold or reverse payouts in cases of suspected fraud, chargebacks, or violation of these Terms, pending investigation.
10. Prohibited Conduct
You must not, and must not attempt to:
- List, sell, or purchase illegal, counterfeit, stolen, or prohibited goods or services;
- Provide false, misleading, or fraudulent information, including false identity or business verification documents;
- Circumvent, disable, or interfere with the security or proper functioning of the Platform;
- Use the Platform to harass, defame, discriminate against, or abuse other Users;
- Scrape, harvest, or misuse the personal data of other Users;
- Use another User's account without authorisation, or misrepresent your identity or affiliation;
- Engage in money laundering, terrorism financing, or any other unlawful financial activity through the Platform.
Violation of this Section may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement or regulatory authorities.
11. Content and Intellectual Property
- You retain ownership of Content you submit but grant DAW a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that Content for the purposes of operating and promoting the Platform.
- You represent that you have all necessary rights to submit your Content and that it does not infringe the intellectual property or other rights of any third party.
- The DAW name, logo, and all Platform software, design, and branding are the property of DAW or its licensors and may not be used without prior written consent.
- DAW may remove Content that it reasonably believes violates these Terms, applicable law, or third-party rights.
12. Cooperative Programmes and Training
Participation in training, mentorship, or networking programmes offered through the Platform is voluntary and subject to any additional programme-specific terms communicated to participants. DAW may, at its discretion, share relevant participant information with programme partners or facilitators strictly for the purpose of delivering the programme, in accordance with our Privacy Policy.
13. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, DAW makes no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform, or the quality, safety, or legality of goods and services listed by Sellers.
To the fullest extent permitted by applicable law, DAW shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform, whether based in contract, tort, or otherwise. DAW's aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you to DAW in the twelve (12) months preceding the claim, where permitted by applicable law.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for fraud or wilful misconduct.
14. Indemnification
You agree to indemnify and hold harmless DAW, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your use of the Platform, or your violation of any law or third-party right.
15. Suspension and Termination
- DAW may suspend or terminate your access to the Platform, with or without notice, for breach of these Terms, suspected fraud, or as required by law.
- You may close your account at any time by contacting DAW; certain records (such as Seller transaction and verification records) may be retained after closure as described in our Privacy Policy, to the extent required by law.
- Sections of these Terms which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall survive termination.
16. Dispute Resolution
DAW encourages Users to first attempt to resolve any dispute informally by contacting DAW's support team. If a dispute cannot be resolved informally within a reasonable period, either party may pursue resolution through the courts of competent jurisdiction identified in Section 18, or, where the parties agree, through mediation or arbitration.
17. Changes to These Terms
DAW may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. We will notify Users of material changes via the Platform or by email, and will indicate the effective date of the revised Terms. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any additional rights Users may have under the GDPR or other applicable data protection or consumer protection laws based on their location.
